Terms of Service

Please read these Terms carefully before using CertusGate. By creating an account or using the platform, your law firm agrees to be bound by these Terms of Service.
1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between your law firm ("Subscriber," "you," or "your") and Cyvine LLC ("Cyvine," "we," "us," or "our"), the developer and operator of CertusGate. By accessing or using the CertusGate platform at certusgate.com or any associated subdomains, you agree to these Terms. If you do not agree, do not use the platform.
The individual accepting these Terms on behalf of a law firm represents and warrants that they have the authority to bind the firm to this agreement.
2. The CertusGate Platform
CertusGate is a software-as-a-service (SaaS) platform designed to help law firms manage client intake, matter tracking, contact management, internal messaging, and related workflow functions. CertusGate is an operational and administrative tool only.
Important: CertusGate is not a law firm and does not provide legal advice. Nothing in the platform, its templates, or its automated features constitutes legal advice. The platform is a tool to support your firm's operations — all legal decisions remain solely with your licensed attorneys.
3. Subscription and Fees
Implementation fee: A one-time implementation and onboarding fee is charged at the start of your engagement. This covers platform setup, configuration, and onboarding support.
Monthly subscription: Following implementation, a recurring monthly subscription fee is charged for continued platform access. Current pricing is available at certusgate.com and confirmed in your order.
Billing: Subscription fees are billed monthly in advance. All fees are non-refundable except as expressly stated in Section 7 below. Cyvine reserves the right to adjust subscription pricing with 60 days' prior written notice.
Payment: You authorize us to charge your designated payment method for all applicable fees. If a payment fails, we will notify you and provide a reasonable grace period to update payment information before suspending access.
4. Account Access and User Responsibilities
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate account information, notify us at [email protected] if unauthorized access is suspected, ensure your users comply with these Terms, and use the platform lawfully.
5. Data Ownership and Confidentiality
Your data belongs to you. All data your firm enters into CertusGate remains your firm's property. Cyvine acts solely as a data processor and has no ownership claim over your data.
Cyvine personnel will not access your data except when explicitly authorized for technical support. Access is logged.
6. Acceptable Use
You agree not to use CertusGate to violate law, upload malicious code, attempt unauthorized access, reverse-engineer the platform, resell access outside your firm, or use it for unrelated purposes. We may suspend or terminate violating accounts based on severity.
7. Cancellation and Termination
By you: You may cancel at any time by written notice to [email protected]. Cancellations take effect at end of current billing cycle. Monthly fees are non-refundable for the current period. Implementation fee is non-refundable after onboarding.
By us: We may suspend or terminate access for breach, non-payment after grace period, or legal requirement.
Data export upon termination: Request export within 30 days. After 60 days post-termination, data is permanently deleted.
8. Intellectual Property
CertusGate software, design, trademarks, and content are property of Cyvine LLC. You receive a limited, non-exclusive, non-transferable license for internal firm use during active subscription.
9. Service Availability and Support
We strive for high availability but do not guarantee uninterrupted access. Maintenance is communicated where possible. Support: [email protected].
10. Disclaimers
CertusGate is provided "as is" and "as available." To the fullest extent permitted by law, Cyvine disclaims all warranties, including merchantability, fitness for a particular purpose, and non-infringement.
11. Limitation of Liability
Cyvine's total liability for claims related to these Terms or the platform will not exceed subscription fees paid by your firm in the 12 months before the claim. Cyvine is not liable for indirect, incidental, consequential, punitive, or special damages, including loss of data, profits, or business interruption, to the extent permitted by law.
12. Indemnification
You agree to indemnify and hold harmless Cyvine and its personnel from claims, damages, losses, or expenses arising from your platform use, Terms violations, or breaches of law/professional obligations.
13. Governing Law and Disputes
These Terms are governed by Florida law. Disputes unresolved informally are submitted to binding arbitration under AAA Commercial Rules in Florida, without limiting either party's right to seek injunctive relief in court.
14. Changes to These Terms
We may update these Terms. For material changes, we provide notice by email or in-platform at least 14 days before effective date. Continued use after effective date constitutes acceptance.
15. Entire Agreement
These Terms and the Privacy Policy at certusgate.com/privacy are the entire agreement between you and Cyvine regarding CertusGate.
